Kings County Truck Lines and its affiliates have been acquired by Ruan Transportation

Kerlin represented Kings Country Truck Lines, Inc. (KCTL) in a sale to Ruan Transportation. KCTL was a 66-year old private company based in central California that had grown to become the largest milk hauler in the country and the largest liquid food-grade carrier in the Western United States. The company included Cal Western Transport, Inc.; Fluid Transport, Inc; MSM Trucking; and California Milk Transport, Inc. KCTL sought an acquirer that would allow them to continue their legacy of being the best-in-class service provider to the California diary industry. KCTL was a combination of a number of businesses, each with a different combination of family and non-family shareholders.

Kerlin worked with the company to develop a consolidated view of the entire enterprise including development of marketing materials as well as a very complex consolidated financial model. Kerlin initiated discussions with potential buyers in a highly controlled format, narrowing the field to a select group and assisted to select Ruan Transportation as the candidate to negotiate a final transaction. During the extensive negotiations of the shareholders purchase agreement, Kerlin played an integral role in the ultimate transaction.
